首屆思百庫(kù)SIPAC國(guó)際法律交流合作論壇于2023年11月16日和17日兩天在上海舉行，來自全世界40多個(gè)國(guó)家的200多名獨(dú)立律師事務(wù)所合伙人、中國(guó)頭部企業(yè)法務(wù)總監(jiān)和合規(guī)總監(jiān)、專家、學(xué)者濟(jì)濟(jì)一堂，就市場(chǎng)關(guān)注的諸多熱點(diǎn)話題進(jìn)行了深入的交流和探討，包括中資跨國(guó)企業(yè)面臨的日益增加的國(guó)際法律風(fēng)險(xiǎn)與管理，ESG法規(guī)和實(shí)踐的發(fā)展，跨境并購(gòu)交易管理，全球地緣政治發(fā)展趨勢(shì)對(duì)中國(guó)持續(xù)全球擴(kuò)張的影響，美洲、亞太、歐洲、中東北非等地區(qū)核心法律問題，多元化爭(zhēng)議解決機(jī)制的適用，國(guó)際制裁及出口管制，新能源汽車行業(yè)的機(jī)遇和挑戰(zhàn)等。

海問律師事務(wù)所合伙人張凱南律師代表海問參加了本次論壇，并主持了廣受關(guān)注的ESG圓桌討論。張律師結(jié)合數(shù)十年在跨境投融資、并購(gòu)、資產(chǎn)管理及金融機(jī)構(gòu)領(lǐng)域的執(zhí)業(yè)經(jīng)驗(yàn)，以及對(duì)ESG領(lǐng)域的深刻理解與實(shí)踐，與來自歐洲、日本、中國(guó)等國(guó)家和地區(qū)的律師、專家和學(xué)者就各國(guó)ESG實(shí)踐及挑戰(zhàn)、ESG是否及如何創(chuàng)造商業(yè)價(jià)值、如何降低企業(yè)風(fēng)險(xiǎn)及損失等問題進(jìn)行了深入的討論。
張凱南律師認(rèn)為，中國(guó)目前尚未形成普遍的ESG標(biāo)準(zhǔn)，不過有關(guān)金融監(jiān)管部門和交易所已經(jīng)針對(duì)上市公司、央企、銀行保險(xiǎn)業(yè)等關(guān)鍵行業(yè)，在ESG信息披露、投資、ESG績(jī)效提升等方面制定了引導(dǎo)政策，目前，建立一套完整、可量化、標(biāo)準(zhǔn)和體系化的ESG標(biāo)準(zhǔn)至關(guān)重要。海問長(zhǎng)期關(guān)注ESG領(lǐng)域的理論及實(shí)踐發(fā)展，是即將推出的上海ESG標(biāo)準(zhǔn)起草委員會(huì)核心委員。

The First SIPAC Annual Sino-International Law Forum was held on November 16 and 17, 2023 in Shanghai. More than 200 first-class independent law firms’ partners, general counsels and chief compliance officers of top Chinese companies, experts and scholars from over 40 countries around the world participated in the event. The attendees had in-depth exchanges and discussions on multiple topics of the market concerns, including managing the increasing international legal risks confronting China’s global companies, regulatory and practice development in ESG, managing cross-border M&A transactions, impact of geopolitical trends on China’s continuing global expansion, Americans, Asia, Europe and MENA regional legal updates, application of diverse dispute resolution mechanisms, international sanctions and export controls, opportunities and challenges for China’s EV industry and etc.

Haiwen’s partner, Julia Zhang, attended the meeting on behalf of Haiwen and moderated the widely-watched ESG panel discussions. Drawing on her 14 years of practice experience in cross-border investments, M&A, asset management and financial institutions, as well as her profound understanding and practice in the ESG field, Julia engaged in in-depth discussions with lawyers, experts and scholars from Europe, Japan, China on ESG practices and challenges in different countries, whether and how ESG creates commercial value, and how to reduce corporate risks and losses.
According to Julia, China has not yet formulated any uniform ESG standards, but financial regulators and stock exchanges have already issued rules and guidelines applicable to listed companies SOEs, banking and insurance industries regarding ESG information disclosure, ESG investment and ESG performance improvement. At present, it is crucial and imminent to establish a set of complete, quantifiable, standardized and systematic ESG standards. Haiwen has long paid attention to the development in the ESG field, and is the leading member of the drafting committee of the upcoming Shanghai New ESG Standards.
Finally, Julia concluded the panel by the quoting President's famous saying that lucid waters and lush mountains are invaluable assets. The environment itself means economy. If you protect the environment, you will receive rewards from it. We are all here to make a difference.
