佐原資本近日成功完成旗下首支離岸開放式加密貨幣基金募資。該基金以開曼群島隔離投資組合公司（Segregated Portfolio Company）的形式設立，專注于虛擬貨幣、Web 3.0，以及其他相關前沿領域的投資。
Zorro Capital recently launched its first open-ended token fund, which is established as a Cayman Islands Segregated Portfolio Company (SPC), with a focus on virtual currencies, Web 3.0, and other cutting-edge sectors.
作為佐原資本的法律顧問，海問全程參與了基金從設立到交割的多個關鍵環節，包括基金架構設計、法律文件的起草及募資支持。在基金成立過程中，海問針對加密貨幣基金的獨特特性，在托管、估值安排、風險披露以及認購與贖回機制等方面進行了深入研究與特別設計，在確保基金滿足監管合規要求的前提下最大程度地滿足客戶的商業需求。
As the legal counsel to Zorro Capital, Haiwen was actively involved in all key aspects of the deal, including fund structure design, drafting of legal documents, and the launch of the fund. Haiwen conducted in-depth research and developed tailored solutions to address the unique characteristics of digital asset funds, particularly in custody, valuation arrangements, risk disclosures, as well as subscription and redemption mechanisms. These efforts ensured the fund's compliance with regulatory requirements while meeting the client’s commercial objectives to the greatest extent possible.
