Mrs. He worked at the Beijing office of Haiwen from 2012 to 2016, and rejoined Haiwen in 2017.
In the area of capital markets, Mrs. He has represented both issuers and underwriters in numerous equity and bond offerings. Mrs. He’s recent experience includes advising:
the underwriters on the initial public offering and listing of China Reinsurance (Group) Corporation on the Hong Kong Stock Exchange; the underwriters on the initial public offering and listing of Huachun China Financial Holding Limited on the Hong Kong Stock Exchange; China Rundong Auto Group Limited in connection with its initial public offering and listing on the Hong Kong Stock Exchange; China XD Electric Co., Ltd. in connection with its private issuance of A shares to GE; Lingbao Gold Group Co.,Ltd. in connection with its issuance of H shares; Zhejiang Cangnan Instrument Group Co.,Ltd. in connection with its H share full circulation and delisting from Hong Kong Stock Exchange; the underwriters and issuers in connection with various offshore debt issuance transactions involving such issuers as Wanda Group Co., Ltd., Minmetals Land Limited, Sichuan Languang Development Co., Ltd., Eximbank, China Merchants Bank, Sunshine Life Insurance Co., Ltd., and Fenghui Leasing Co., Ltd.
In the area of mergers and acquisitions, Mrs. He’s recent experience includes advising: a state-owned investment institution in connection with its investment in Ant Group Co., Ltd.; a state-owned investment institution in connection with its proposed investment in an AI company; a PE investor in its proposed investment in a camera manufacturing company; a PE investor in its proposed investment in an industrial supply chain company; a PE investor in its investment in a chip R&D company; Morgan Stanley Asia in connection with the going-private transaction of Sino Gas International Holdings, Inc.; Hunan Xindaxin Co., Ltd. in connection with its acquisition of Origin Agritech Limited; Neusoft Group on its sale of shares in its two subsidiaries to Goldman Sachs, Hony and other strategic investors; Fresh Life in connection with its series A financing.
In the area of general corporate, Mrs. He’s recent experience includes advising: China Orient Asset (International) in connection with its provision of loans to a real estate company; a foreign investor in connection with its sale of equity interests in a joint venture; a domestic enterprise with the establishment of a joint venture with a foreign investor; IQIYI to establish a joint venture with Huace Film and TV Co., Ltd.; SITC Logistics in its acquisition of container assets of a shipping company and the establishment of a joint venture with it.
Mrs. He received her LL.B. degree and her LL.M. degree from the University of International Business and Economics in 2010 and 2012, respectively. She subsequently went on to receive her LL.M. degree from the University of North Carolina at Chapel Hill in 2017.
