2026年1月,香港高等法院就一項(xiàng)結(jié)構(gòu)性融資安排項(xiàng)下、作為擔(dān)保轉(zhuǎn)讓之股東貸款作出判決,裁定客戶有權(quán)收回尚未償還的本金6,000萬美元。法院同時判令被告按判后利率支付利息直至全部清償,并命令被告按全額彌償基準(zhǔn)承擔(dān)本案訴訟費(fèi)用(包括相關(guān)申請的費(fèi)用),有關(guān)費(fèi)用已獲簡易評定。
In January 2026, the High Court entered judgment in favour of our clients for the outstanding principal of US$60 million arising from shareholder loan arrangements that had been assigned as security under a structured financing arrangement. The Court also awarded interest at the judgment rate until full payment and ordered the defendant to pay the plaintiff’s costs of the action, including the relevant application, on a full indemnity basis, with costs summarily assessed.
本案涉及在擔(dān)保融資框架下對已轉(zhuǎn)讓股東貸款的司法執(zhí)行。被告提出多項(xiàng)抗辯理由以抗辯其責(zé)任,包括主張存在限制債權(quán)轉(zhuǎn)讓的附帶口頭約定,以及質(zhì)疑公司授權(quán)的有效性。法院在聽取雙方陳詞并全面審閱相關(guān)證據(jù)后,駁回被告的抗辯主張,判決原告全面勝訴。
The proceedings concerned the enforcement of assigned shareholder loans within a secured financing framework. The defendant advanced various grounds seeking to resist liability, including allegations of an alleged collateral understanding restricting assignment and lack of corporate authority. After hearing submissions and considering the evidence, the Court rejected the defendant’s position and granted judgment in full.
