Mr. He joined Haiwen in 2003.
In the areas of foreign direct investment and M&A, Mr. He has represented numerous multinational companies in their investment projects in China, including establishment of wholly owned subsidiaries, joint venture companies and other types of investment vehicles, and acquisitions of existing businesses or assets in China. Mr. He also has extensive experience in advising foreign companies in the M&A, post-merger integration, restructuring, establishment of regional headquarter, financing, disposal of equity or assets, closure and exit of their foreign investment enterprises in China. Mr. He has also advised many domestic clients on their business transactions with foreign investors. In this area, the clients that Mr. He has served cover a wide range of industries including, among others, fast moving consumer goods, catering, pharmaceutical, chemical, energy and new energy, Internet, automobiles, mechanical equipment, industrial products, high precision metals, trading, logistics, education, advertising and publishing.
In the area of dispute resolution, Mr. He represents both domestic and foreign clients in complex disputes arising out of international or domestic investment or trade. In this area, Mr. He’s experiences include arbitration before international or domestic arbitration institutions such as International Chamber of Commerce (ICC), Hong Kong International Arbitration Center (HKIAC), China International Economic Trade and Arbitration Commission (CIETAC), Shanghai International Arbitration Center (SHIAC) and Shanghai Arbitration Commission (SHAC), civil and commercial litigation before courts at different levels, and recognition and/or enforcement of foreign or local court judgments and arbitration awards in China. Mr. He also acts for a large number of domestic and foreign clients in initiating and/or participating in administrative procedures before relevant administrative authorities, and in domain name disputes before relevant institutions such as World Intellectual Property Organization (WIPO) and Asian Domain Name Dispute Resolution Center (ADNDRC). Mr. He also frequently works on internal and external corporate compliance investigations, including those initiated as a result of whistle-blowing.
In the area of general corporate, Mr. He has been frequently retained by foreign and domestic clients to advise on diverse legal issues arising out of clients’ day-to-day business operations in China, and has been awarded the “Best PRC Counsel of the Year” for the general corporate legal services by a major conglomerate client of the firm. In this area, Mr. He routinely advises clients on various legal matters arising out of their operations in China, including among others, regulatory compliance, corporate governance, government approvals and registrations, cross-border IP licensing and protection, franchising, competition and anti-trust, labor and foreign exchange. Mr. He’s experiences in this area also include scheme design, documentation and negotiations of major commercial transactions; roll out of cooperate policies and procedures; legal trainings; and provision of advice on strategies and proactive measures for potential disputes prior to litigation and arbitration.
Mr. He has been awarded “Asialaw Leading Lawyer” and “Leading Lawyer” in the areas of Dispute Resolution, Corporate and M&A by Asia Law and China Law and Practice for many years consecutively since 2013, and “Acritas Star Lawyer” and “Thomson Reuters Stand-out Lawyer” (as of 2021) for many years consecutively since 2016. Mr. He received his LL.B. degree and his J.M. degree from the Fudan University in 2000 and 2003, respectively.
